These Terms of Service ("Terms") govern your access to and use of the Gated mobile application and website (collectively, the "Service") operated by Gated Residential ("Gated," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is invite-only. You must be at least 18 years of age to use Gated. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.
Membership is granted at our sole discretion. We reserve the right to accept or deny membership to any individual for any reason. A valid invite code is required to create an account. Invite codes are non-transferable and may only be used once.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when registering and to keep your information up to date.
You may not share your account with others, create multiple accounts, or use another member's account. If you suspect unauthorized access to your account, contact us immediately at wake@gatedresidential.com.
When you submit an item for sale, you represent that:
All listings are reviewed and approved by our team before becoming visible to other members. We reserve the right to reject or remove any listing at our sole discretion without notice.
Gated acts as a facilitator between sellers and buyers. We are not a party to the sale contract between you and a buyer. You are solely responsible for any disputes arising from your listing or the items you sell.
Gated charges a commission on completed sales. Commission rates are tiered based on the final sale price and will be disclosed to you before you confirm a listing. By submitting a listing, you agree to the applicable commission rate.
Payouts are processed after a sale is completed and the handoff is confirmed. Gated reserves the right to withhold or delay payouts in cases of suspected fraud, disputes, or violations of these Terms.
You are solely responsible for any taxes applicable to your sales. Gated does not provide tax advice.

Violation of these prohibitions may result in immediate account termination and, where appropriate, referral to law enforcement.
By uploading photos or other content to the Service, you grant Gated a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content solely for the purpose of operating and promoting the Service. You retain ownership of your content.
You represent that you own or have the right to use any content you upload, and that doing so does not violate any third-party rights.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Gated does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
We do not guarantee the accuracy of any listing information provided by members. Buyers and sellers are encouraged to exercise their own judgment before completing any transaction.
To the fullest extent permitted by law, Gated and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service or any transaction facilitated through it.
Our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the greater of (a) the commission fees paid by you to Gated in the 12 months preceding the claim, or (b) $100.
You agree to indemnify, defend, and hold harmless Gated and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your listings or transactions, your violation of these Terms, or your violation of any third-party rights.
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may close your account at any time by contacting us at wake@gatedresidential.com.
Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will remain in effect, including sections on fees owed, disclaimers, limitation of liability, and indemnification.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we make material changes, we will notify you by updating the date at the top of this page and, where appropriate, by sending a notification through the app or to your email address. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
